SMS Privacy Policy

The Reciprocity Accounting SMS notification service (the “Service”) is operated by Reciprocity Accounting LLC (“Reciprocity Accounting”, “we”, “our”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“SMS Policy”), including your agreement to resolve any disputes with us through binding, individual-only arbitration, as detailed in the Dispute Resolution section below. We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify this SMS Policy at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

Service Description

Reciprocity Accounting sends automated SMS notifications to authorized contacts at dental practices and prospective clients we serve. Messages are operational in nature and may include reminders to submit daily reports, practice management alerts, onboarding communications, and follow-up communications related to your inquiry or engagement with Reciprocity Accounting. This SMS Policy is not intended to modify any other agreement that may govern the relationship between you and Reciprocity Accounting. Opt-In

Recipients are added to the Service in one of two ways: (1) authorized staff at dental practice clients provide their mobile number during the client onboarding process and consent to receive operational alerts, or (2) prospective clients provide their mobile number through a contact or inquiry form on our website and consent to receive follow-up communications. Regardless of the opt-in method, you agree that this SMS Policy applies to your use of the Service. Participation is completely voluntary and is not a condition of any engagement or purchase with Reciprocity Accounting.

Opt-Out

If you do not wish to continue to receive the Service or no longer agree to this SMS Policy, you may opt out at any time by replying STOP to any message received from Reciprocity Accounting. You may receive a one-time opt-out confirmation message. Once opted out, no further messages will be sent to your mobile device unless initiated by you. To re-enable messages, reply START. You understand and agree that any other method of opting out is not a recognized means of opting out under this policy.

Message Frequency

Message frequency varies by recipient type. Operational alerts to dental practice staff are sent on business days only, typically once per day. Follow-up communications to prospective clients are sent as needed in connection with their inquiry. Reciprocity Accounting reserves the right to alter the frequency of messages at any time.

Fees

Reciprocity Accounting does not charge for the Service. Message and data rates may apply depending on your mobile carrier plan. Check your mobile plan and contact your wireless provider for details. Not all wireless carriers, mobile devices, or handsets may be supported and messages may not be deliverable in all areas. Reciprocity Accounting, its service providers, and the mobile carriers are not liable for delayed or undelivered messages.

Support

For Service support or assistance, reply HELP to any message or contact us at support@reciprocityaccounting.com or by phone at 513-401-5508. Please note that use of this phone number is not an acceptable method of opting out from the Service. Opt-outs must be submitted in accordance with the procedures set forth above.

Telephone Number

We may change any telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

Third Parties

Reciprocity Accounting routes SMS communications through Twilio, a third-party service provider. SMS consent and phone numbers are not shared with any third parties or affiliates for marketing purposes. The wireless carriers supported by the Service are not liable for delayed or undelivered messages. Your Responsibilities

To receive the Service, you must have a wireless device capable of two-way messaging and be a wireless service subscriber with text message service. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to update your contact information with Reciprocity Accounting. If at any time you intend to stop using the mobile telephone number you provided, including canceling your service plan or transferring the phone number to another party, you agree to complete the opt-out process set forth above prior to ending your use of that mobile number. You understand and agree that your obligation to do so is a material part of this SMS Policy.

Prohibited Content

You acknowledge and agree not to send any prohibited content through the Service. Prohibited content includes:

a. Any fraudulent, libelous, defamatory, threatening, or harassing activity;

b. Objectionable content, including profanity, obscenity, violence, bigotry, hatred, or discrimination;

c. Pirated computer programs, viruses, worms, or other harmful code;

d. Any content that implicates personal health information protected by HIPAA or the HITECH Act;

e. Any other content that is prohibited by applicable law in the jurisdiction from which the message is sent.

Warranty Disclaimer

The Service is offered on an “as-is” basis and may not be available in all areas at all times and may not continue to work in the event of product, software, coverage, or other changes made by your wireless carrier. You agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, or any action you may or may not take in reliance on the information or Service.

Dispute Resolution

In the event that there is a dispute, claim, or controversy between you and Reciprocity Accounting arising out of or relating to this SMS Policy or the Service, such dispute will be determined by binding arbitration in Cincinnati, Ohio before one arbitrator. The parties agree to submit the dispute to binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association then in effect. The arbitrator shall apply the substantive laws of the State of Ohio. The decision of the arbitrator shall be final and binding. Each party shall bear its share of the fees paid for the arbitrator and the administration of the arbitration.

THE PARTIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY VIA ARBITRATION AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ARBITRATION PROCEEDING.

State Laws

If you are a resident of Florida, New Jersey, Washington, or Oklahoma, you agree to the following terms, as applicable:

a. Florida. We endeavor to comply with the Florida Telemarketing Act and the Florida Do Not Call Act as applicable to Florida residents. For purposes of compliance, you agree that we may assume that you are a Florida resident if the area code for the phone number used to opt into the Service is a Florida area code. Insofar as you are a Florida resident, you agree that mobile messages sent by Reciprocity Accounting in direct response to messages or requests from you shall not constitute a “telephonic sales call” or “commercial telephone solicitation phone call” for purposes of Florida Statutes Section 501.

b. New Jersey. In our efforts to comply with the New Jersey telemarketing law, you agree that we may assume that you are a New Jersey resident if the area code for the phone number used to opt into the Service is a New Jersey area code. Insofar as you are a New Jersey resident, we will state our company name at the start of every message we send to you.

c. Washington. To the extent the law is relevant and applicable to the Service, we endeavor to comply with the commercial telephone solicitation requirements pursuant to the Revised Code of Washington as applicable to Washington residents.

d. Oklahoma. We endeavor to comply fully with the Oklahoma Telephone Solicitation Act of 2022 as applicable. For purposes of compliance, you agree that we may assume that you are an Oklahoma resident if the area code for the phone number used to opt into the Service is an Oklahoma area code.

Miscellaneous

You warrant and represent to Reciprocity Accounting that you have all necessary rights, power, and authority to agree to this SMS Policy. The failure of either party to exercise any right provided for herein will not be deemed a waiver of any further rights. If any provision of this SMS Policy is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this SMS Policy will otherwise remain in full force and effect. We reserve the right to change this SMS Policy from time to time. Any updates to this SMS Policy shall be communicated to you. By continuing to use the Service after any such changes, you accept this SMS Policy as modified.
